A transparent background becomes white
A JPG has no transparency, so any see-through area in your PNG is filled with white once it is a JPG. If you need the transparency kept, convert to PNG instead — either way the tool tells you underneath the result whenever this happened.
Nothing is uploaded
There is no server to upload to. Your PNG is decoded and re-encoded as JPG by this browser, and the Download button points at the result sitting in your own device's memory. Will the JPG be smaller than the PNG?
